HatBot Dashboard Software License Agreement

Version 1.0, 07/08/2023

IMPORTANT: READ CAREFULLY BEFORE USING OR DISTRIBUTING THE SOFTWARE.

This Software License Agreement ("Agreement") is entered into between HatFilms, a legal entity registered under the laws of the United Kingdom ("Licensor") and the end user ("Licensee"). By using, downloading, or distributing the software provided by Licensor, Licensee agrees to be bound by the terms and conditions of this Agreement.

  1. Grant of License

    a. Licensor hereby grants Licensee a non-exclusive, non-transferable, revocable license to use the software, including any accompanying documentation ("Software"), solely for Licensee's internal use and in accordance with the terms of this Agreement.

    b. Licensee may not redistribute, sublicense, or make the Software available for use by third parties without prior written permission from Licensor.

  2. Copyright and Ownership

    a. The Software and any accompanying materials are protected by copyright and other intellectual property laws. Licensor retains all rights, title, and interest in the Software, including any modifications or derivative works.

  3. Restrictions

    a. Licensee may not reverse-engineer, decompile, or disassemble the Software, except as permitted by applicable law.

    b. Licensee may not remove or alter any copyright, trademark, or proprietary notices in the Software or documentation.

  4. Warranty Disclaimer

    THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. LICENSOR SHALL NOT BE LIABLE FOR ANY DAMAGES OR LIABILITY ARISING FROM THE USE, DISTRIBUTION, OR MODIFICATION OF THE SOFTWARE.

  5. Limitation of Liability

    IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OR DISTRIBUTION OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  6. Governing Law

    This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

  7. Entire Agreement

    This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, or representations, whether oral or written.

By using, downloading, or distributing the Software, Licensee acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
