CHARTER: s6(k): outline by-elections

Previously there was no procedure to deal with members becoming
incapable during a TOB term. Luckily we've never run into this issue but
the IBM/RedHat merger could've easily triggered this problem, so it's a
good idea to resolve this now if we can.
