SOFTWARE LICENSE AGREEMENT

This Software License Agreement (the "Agreement") is entered into by and between J M Rossy ("Licensor"), and the user ("Licensee").

1. LICENSE GRANT

Licensor hereby grants Licensee a non-exclusive, non-transferable license to use the software Celo Mondo (the "Software") for the sole purpose of testing, subject to the terms and conditions of this Agreement.

2. RESTRICTIONS

Licensee shall not, without the prior written consent of Licensor:
   a. Copy, reproduce, or distribute the Software.
   b. Modify, adapt, translate, reverse engineer, decompile, or disassemble the Software.
   c. Remove any proprietary notices, labels, or marks on the Software.
   d. Transfer, sublicense, or assign the Software to any third party.

3. OWNERSHIP

Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights.

4. TERM AND TERMINATION

This Agreement is effective Jan 20, 2024 and will continue until terminated. Licensor may terminate this Agreement immediately upon any breach of the terms herein by Licensee.

5. DISCLAIMER OF WARRANTY

The Software is provided "as is," without any warranties, express or implied. Licensor disclaims any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

6. LIMITATION OF LIABILITY

Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of Canada.
